Our sell-side M&A engagements typically involve:
- Advising and assisting our clients in analyzing and evaluating their business model, operations, and financial position;
- Defining M&A objectives, performing a valuation analysis, and structuring the transaction;
- Assisting in the preparation of an offering memorandum to be utilized in discussions with prospective participants in the transaction;
- Identifying a comprehensive list of potential strategic and financial buyers;
- Overseeing management presentations and the due diligence process;
- Working with the client’s attorneys to review all requisite documents;
- Negotiating the terms and conditions of the transaction; and
- Providing any other assistance necessary to achieve a completed transaction satisfactory to the client.
